# How to Compare Business Sale Offers Beyond the Price

![Picture of Todd Topliff](https://www.ttbusinessbroker.com/hs-fs/hubfs/Todd%20Topliff_Headshot.jpg?width=50&name=Todd%20Topliff_Headshot.jpg) By  [Todd Topliff](https://www.ttbusinessbroker.com/owner-insights/author/todd-topliff)  ·   3 minute read

You’ve spent years building the business. Now you’re ready for the sale to give you more time, fewer responsibilities, and the money to move forward.

An offer arrives at a price you would consider. But how much would you receive at closing? What would you still have to earn? And how long would you need to stay?

Those answers determine whether the offer supports the life you want after the sale. If health, retirement, or family priorities make a full departure your goal, the payment terms and transition requirements deserve as much attention as the price.

A useful starting question is:

**Would this offer allow me to leave the way I want to?**

## Separate the purchase price from your proceeds

An offer can include several forms of payment. Each carries different conditions and risks.

Before comparing the totals, put the components side by side.

### Cash at closing

This is the portion paid when the transaction closes. It is not necessarily the amount you take home.

Debt repayment, transaction expenses, taxes, and agreed adjustments can affect your net proceeds. Some money may also be held in escrow.

Ask your advisors to help estimate what would actually be available to fund your next chapter.

### Seller financing

A seller note means the buyer owes you part of the purchase price under a repayment agreement.

Review the payment schedule, interest, security, and what happens if payments stop. Understand whether other creditors have priority and what remedies would realistically be available to you.

You may be finished working in the company while still carrying financial exposure to it.

### Earnouts

An earnout makes part of the payment dependent on defined future results.

Understand what is being measured, how it is calculated, and who controls the decisions that affect it. You also need clarity about the records you can review and how disagreements would be resolved.

An earnout and continued employment are separate issues. If both appear in the offer, understand how they interact.

### Retained or rollover equity

Keeping an ownership interest leaves you invested in the business or the buyer’s larger company after closing.

That investment may grow in value. It may also lose value, and the timing of a future payout may be uncertain.

Ask what rights you would have, how your ownership could be diluted, and under what circumstances you could turn the investment into cash.

### Escrows and holdbacks

An escrow or holdback reserves part of the proceeds for agreed purposes.

Find out how much is withheld, when it can be released, and what claims or adjustments could reduce the amount you eventually receive.

## Compare the offers against your actual goal

Consider a simplified, hypothetical example:

| Offer | Cash at closing | Potential future payment | Maximum total |
| --- | --- | --- | --- |
| Offer A | $2 million | None | $2 million |
| Offer B | $1.8 million | Up to $600,000 through an earnout | $2.4 million |

These figures are before taxes, debt repayment, transaction expenses, and other adjustments. They are illustrative offers, not reported transactions.

Offer B has a higher potential total. It also provides less cash at closing and leaves a meaningful amount uncertain.

That does not automatically make either offer better.

An owner who wants continued involvement may be comfortable considering future exposure. An owner who needs to step away may place greater weight on immediate proceeds and a manageable handoff.

The practical test is:

**If the uncertain portion never arrives, would the transaction still allow me to do what I want next?**

That answer belongs in the discussion before you become committed to a buyer or structure.

## Understand what you would still be responsible for

Payment terms are only part of the comparison.

A buyer may expect you to introduce customers, train a replacement, supervise employees, maintain a qualifying role, or continue managing the business.

“Help with the transition” is too broad to evaluate on its own.

Ask:

→ How long would I stay?

→ How many hours would I work?

→ Which responsibilities would remain mine?

→ What authority would I have to carry them out?

→ How would I be compensated?

→ What happens if my health or circumstances change?

A defined role can work well for an owner who wants to remain involved. The same role may conflict with another owner’s reason for selling.

## Why the distinction matters in actual transactions

Public deal information illustrates how purchase price and immediate payment can differ.

IBBA and M&A Source’s Q2 2026 Market Pulse highlights reported cash at closing ranging from 83% to 92% across its transaction price bands. Those figures describe portions of the consideration, rather than the percentage of deals using a particular term.

A larger transaction provides another example. Limbach announced a $63 million purchase price for 1901 Inc. in September 2026, subject to adjustments, plus up to $6 million in additional performance earnouts over two years.

Neither example determines the right structure for a local Florida business sale. The useful point is that the stated price, the immediate proceeds, and the amount dependent on future events are different measures.

## Compare certainty, timing, and buyer fit

The buyer matters alongside the terms.

Can they explain their acquisition plan clearly? Do their expectations match the business you operate? Is the proposed timeline realistic? What conditions must be satisfied before they can close?

An attractive offer deserves a close look at those questions.

Work through the proposed terms with your transaction, legal, tax, and wealth advisors. Everyone should be working toward the same owner objective.

Start with three questions:

- How much would I actually receive at closing after the relevant deductions?
- What could prevent the remaining money from being paid?
- What work and financial risk would remain with me after the sale?

The goal is an offer you understand and a transition you can realistically complete.

## Make the sale support your next chapter

If you are considering selling your business in Fort Myers, Naples, or elsewhere in Southwest Florida, we can help you compare offers beyond the headline price.

We will begin with what you want the sale to accomplish, then evaluate the payment terms, buyer fit, and responsibilities that would remain after closing.
